Big Gains on US Stocks and a Text from the Chinese Tax Bureau: Back Tax, Administrative Penalties and Tax Evasion — A Case Study

Limited to Chinese tax-resident individuals who bought and sold US stocks through an overseas broker and have already realised large gains. It distinguishes ordinary reminder texts, orders to declare, recovery notices and the points at which criminal risk arises.

The short answer

Criminal liability is possible, but "receiving a text" does not mean you have committed tax evasion, and certainly not that the case is about to go to the police. If you have already sold US stocks, realised a very large gain and are a Chinese tax resident, the gain is in principle overseas income from the transfer of property and must be declared. Tax evasion only comes into play if you keep failing to declare, causing tax to be underpaid, still refuse to remedy it after the tax authority has lawfully notified you and sought recovery, and the amount and percentage reach the statutory thresholds.

The most important windowA first-time evader who, before the public security authority files the case and after receiving a lawful recovery notice from the tax authority, pays the tax in full, pays the late payment surcharge and fully performs the administrative penalty decision within the set (or extended or instalment) deadline is, in principle, not prosecuted. This does not apply to anyone who has received a criminal penalty for tax evasion, or two or more administrative tax penalties, within five years.
Don't misread the textA text may be only a risk reminder, or it may simply tell you a formal document is waiting in the electronic tax bureau. What determines the outcome is the content of the text, the sending authority, the name of the document in the electronic tax bureau, the service record, and your reply and follow-up. 1. Scope: which US stock gains are taxable in China

Offsetting trading losses: take a conservative approachThe current Individual Income Tax Law computes property-transfer income "per transaction", and there is no clear, uniform national rule on netting a full year of US stock gains and losses. Some commentators argue annual netting is more reasonable, but commentary is not law. For a large declaration, prepare two calculations from trade-by-trade data and obtain written confirmation of the loss-offset method from the competent tax authority.

Sources: Individual Income Tax Law, Articles 1, 2, 3, 6, 7, 10 and 13; Implementing Regulations, Articles 3, 16, 20 and 32; Ministry of Finance and State Taxation Administration Announcement No. 3 of 2020.

2. What happens after the text: identify the level of the document first

1. Risk-reminder text
Prompts self-review, declaration or contacting the tax authority; not necessarily a formal document.
→
2. Interview / urging correction
Asks you to explain accounts, trades and income and supplement your declaration.
→
3. Formal tax documents
Order to correct within a time limit, tax matter notice, handling/penalty decision, demand or recovery notice.
→
4. Inspection and transfer
If you refuse to correct and the thresholds are met, enforcement and transfer to the police are possible.

Where there is only an ordinary text, whether there has been a criminal-law "failure to declare after being lawfully notified by the tax authority" cannot be decided from the text's heading alone; it depends on who sent it, what it says, how it was served and whether it clearly required a declaration. But the text is enough to prove you knew of the risk, and deleting records, inventing costs or moving assets after it will seriously worsen how your intent is assessed.

3. Administrative consequences: back tax, late fees and fines are three different things

SituationMain consequenceBasis
Late declaration onlyOrder to correct within a time limit; fine up to RMB 2,000, or RMB 2,000–10,000 if seriousTax Collection Law Art. 62
Late paymentBack tax plus a daily surcharge of 0.05% of the tax from the date payment fell dueArt. 32
Refusing to declare after notice, or false declaration, causing underpaymentRecovery of tax and surcharge, plus a fine of 50% to 5 times the underpaid tax; criminal liability separately if a crimeArt. 63
Not declaring, causing underpaymentRecovery of tax and surcharge, plus a fine of 50% to 5 times the underpaid taxArt. 64
Still not paying after an order to pay within a time limitEnforcement, and a fine of 50% to 5 times the unpaid taxArt. 68
Moving or hiding assets after tax is owedAdministrative recovery and penalty; above thresholds, possibly the crime of evading recovery of tax arrearsArt. 65; Criminal Law Art. 203

Whether penalty provisions overlap depends on the formal documents and the facts; the fines in the table should not simply be added together.

4. Is there criminal liability? Possibly, but there are four hurdles

RMB 100,000 + 10%A "relatively large" amount that is also 10% or more of the total tax payable across all taxes for the year: up to three years' imprisonment or criminal detention, plus a fine.
RMB 500,000 + 30%A "huge" amount that is also 30% or more: three to seven years' imprisonment, plus a fine.
Full remedy before police filingA first offender who, before the police file the case, pays the tax in full, pays the surcharge and performs every penalty decision is in principle not prosecuted.
  1. Conduct: there must be a false declaration by deception or concealment, or a "failure to declare" in the criminal-law sense. An individual who need not register and who, after a taxable event, still does not declare after the tax authority lawfully notifies them is a "failure to declare" listed in the judicial interpretation.
  2. Amount: evaded tax of RMB 100,000 or RMB 500,000.
  3. Percentage: the amount must also be 10% or 30% of the total tax payable across all taxes for that year; the US-stock tax alone cannot settle this.
  4. Procedure and remedy: where the tax authority has not lawfully issued a recovery notice, the judicial interpretation says criminal liability is not pursued. Refusing to remedy fully after the notice can lose the safe harbour.
"I paid the tax" may not be enoughThe safe harbour requires full payment of tax, payment of the surcharge and full performance of the penalty decision before the police file the case. Paying only part, paying after filing, or paying the tax but not the surcharge or the fine does not automatically block criminal liability.

5. A worked example: "I made RMB 30 million"

Assume RMB 30 million is realised taxable income after deducting lawful costs and reasonable expenses, and ignore foreign tax credits for now:

If "RMB 30 million" is just a screenshot of account profit that includes unsold paper gains, cumulative gains across years, principal, or costs not yet deducted, you cannot simply multiply it by 20%. The trading account must be rebuilt year by year and trade by trade.

6. Seven comparable cases: the text is not the end — what you do next decides the risk

1. Transferred to police without prior recovery or penalty; acquitted on retrial after remedy

(2019) 鄂刑再5号 | Hubei High People's Court | Case Database No. 2023-06-1-142-001

Underpaid RMB 446,292.51. The tax inspection department transferred the matter to the police without first giving a chance to correct; the defendant paid the tax during investigation and later paid the fine. On retrial the court applied Article 201(4) of the Criminal Law and acquitted.

2. No full remedy; convicted once amount and percentage met

(2023) 粤20刑终481号 | Zhongshan Intermediate People's Court, Guangdong | Case Database No. 2024-05-1-142-001

Evaded RMB 190,488.88 in the relevant years, at 11.54% and 28.86% respectively. The responsible person did not cooperate or remedy fully and was sentenced to six months' imprisonment and a RMB 50,000 fine.

3. Repeated reminders and a formal notice, then only partial payment — still convicted

(2014) 鸡冠刑初字第66号 | Heilongjiang | Case Database No. 2025-05-1-142-001

The tax authority repeatedly urged declaration; the defendants first denied pre-sale income, then after a formal notice paid only RMB 700,000, leaving about RMB 3.56 million unpaid at over 30%. Both received three years' imprisonment suspended for four years, plus fines.

4. Hidden income, no payment after notice — both company and individual liable

(2024) 新42刑终7号 | Xinjiang | Case Database No. 2026-05-1-142-001

Income was hidden using personal bank cards and false contracts; about RMB 3.86 million was evaded (30.49%) and not paid after a recovery notice. The company was fined and the responsible person received three years plus a fine.

5. No proof the tax authority notified and handled first — acquitted on retrial

(2018) 黑刑再3号 | Heilongjiang High People's Court | Case Database No. 2026-16-1-142-001

It could not be proved that the tax authority had handled the matter first and lawfully notified the person to declare, and the person had no prior tax-evasion penalty, so the procedural conditions for prosecuting a first offender were not met.

6. Individual refused after an order to correct and a tax notice — two years ten months

(2020) 鲁0811刑初400号 | Rencheng District People's Court, Jining, Shandong | local mirror of China Judgments Online

An unregistered business operator did not declare for years and still refused to declare or pay after notice, an order to correct and recovery; tax payable was about RMB 3.5098 million, including about RMB 1.1514 million individual income tax. Sentenced to two years ten months and a RMB 200,000 fine.

7. False declaration; tax paid after filing but surcharge and fines unpaid — four years

(2021) 皖0402刑初5号 | Datong District People's Court, Huainan, Anhui | local mirror of China Judgments Online

The real equity transfer price was RMB 70 million, but a false agreement for RMB 3,260,506 was declared. Tax owed at filing was about RMB 6.9548 million; the tax was later paid but not the RMB 7.0532 million surcharge or most of the fine. Sentenced to four years and a RMB 500,000 fine.

7. Case rules at a glance

Fact patternLikely outcome
Check immediately after an ordinary reminder text and declare voluntarilyUsually handled as self-correction with back tax and surcharge; not automatically a crime
Still not declaring or paying after a formal notice to declare / recovery noticeEvidence of "failure to declare" and intent strengthens; criminal risk becomes real once amount and percentage are met
Transferred without lawful notice or a first-offender chance to remedyDatabase cases support no prosecution or acquittal, but check whether electronic service already occurred
Tax, surcharge and penalty all paid within the deadline before police filingA first offender is in principle not prosecuted
Partial payment, tax only, or payment after filingMay affect sentencing, but the safe harbour does not automatically apply
Moving or hiding assets after noticeMay also trigger the crime of evading recovery of tax arrears and enforcement

8. A 48-hour checklist after the text

  1. Log in to the individual electronic tax bureau and the competent authority's channels, download notices, documents and service receipts, and keep the original text screenshot.
  2. Confirm tax residence, the years involved, who owns the account, and any nominee holding, joint account or mixing with company accounts.
  3. Export the overseas broker's full trade history, monthly statements, annual tax forms, deposit and withdrawal records, and dividend and withholding certificates.
  4. Convert to RMB year by year and trade by trade, separating principal, realised gains, unrealised gains, dividends, options and fees, into a working paper.
  5. Reply in writing within the deadline, applying for an extension or instalments if needed; after agreeing the method, file the supplementary declaration and pay tax and surcharge.
  6. If there is already an order to correct, a handling or penalty decision, a demand, or contact from the police, bring in a tax adviser and a criminal lawyer together and aim to remedy fully before the police file the case.
  7. Do not fabricate costs, delete records, split transfers or move and hide assets.

9. Search scope and limitations

This report searched current statutes, the People's Court Case Database, the Guiding Cases database and a local mirror of China Judgments Online on our server. No Guiding Case, database case or criminal judgment was found whose facts are directly "a Chinese tax resident profited from US stocks and did not declare after a tax text". The seven cases above are comparisons on the administrative pre-condition for tax evasion, lawful notice, failure to declare, payment and the conditions for full remedy — not direct rulings on the tax base for US stocks.

Searching all 239 Supreme People's Court Guiding Cases on the server for "tax evasion, individual income tax, tax collection, overseas income" found nothing directly relevant, nor did the China Judgments Online mirror reveal a criminal case directly on overseas US-stock capital gains. The analysis therefore rests mainly on current law, supported by case rules.

Law: Individual Income Tax Law and its Implementing Regulations; Tax Collection and Administration Law; Criminal Law; MOF/STA Announcement No. 3 of 2020; the 2024 SPC/SPP judicial interpretation on crimes endangering tax collection.
Cases: 5 published cases from the People's Court Case Database and 2 judgments from the local China Judgments Online mirror. All full texts are hosted on this site (in Chinese); click a case number to check it.

Quick answers

Do Chinese tax residents have to pay Chinese tax on US stock gains?
Yes, in principle. Gains realised by a Chinese tax resident individual from selling foreign shares are overseas-source income from the transfer of property, taxed at 20% on the gain (sale proceeds minus original cost and reasonable expenses), declared between 1 March and 30 June of the following year. Unrealised paper gains are generally not taxed, and leaving the money abroad does not remove the obligation.
Does a text message from the tax bureau mean I have committed tax evasion?
No. A text may be only a risk reminder or a pointer to a formal notice in the electronic tax bureau. Criminal liability requires deception or a legally relevant "failure to declare" after a lawful notice, an evaded amount of at least RMB 100,000 that is also at least 10% of the total tax payable for the year, and failure to remedy after a lawful recovery notice.
Can I avoid criminal liability by paying the tax?
For a first-time offender, yes in principle: if, before the police file the case and within the deadline set by the tax authority after a lawful recovery notice, the person pays the tax in full, pays the late payment surcharge and fully performs the administrative penalty decision, criminal liability is generally not pursued. Partial payment, payment after police filing, or paying the tax but not the surcharge or fine does not automatically qualify.
What are the administrative penalties for not declaring foreign investment income in China?
Back tax, a daily late payment surcharge of 0.05% of the unpaid tax, and a fine of 50% to 5 times the underpaid tax for not declaring or for false declaration; separate fines can apply to late filing alone. Transferring or hiding assets after tax becomes owed can lead to enforcement and, above thresholds, a separate crime.
